01 Acceptance of Terms

By accessing or using the IamAgent application, website (iamagent.ai), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

02 Description of Service

IamAgent is a security and authorization layer for AI agents. The Service monitors and evaluates AI agent actions, using on-device inference to assess whether agent actions align with authorized intent. IamAgent does not provide AI intelligence, generate content, or control the behavior of third-party AI models or agents.

03 Eligibility

If you are under 18 years of age, you must have parental or legal guardian consent to use the Service. By using the Service, you represent and warrant that you meet this requirement.

04 User Accounts

The Service uses third-party authentication providers (currently Google) for sign-in. You are responsible for maintaining the security of your third-party authentication account. IamAgent does not store passwords or authentication credentials.

05 Local Processing and Data

IamAgent performs its analysis and authorization functions locally on your device. By default, certain non-personal data — such as installed MCP server identifiers and suggested rules — may be transmitted to IamAgent's servers to enable rule management and configuration through the Service's web interface. This data is stripped of personally identifiable information (PII) before transmission. You may disable this feature at any time through the Service's settings. You are solely responsible for the security of your device and the data stored on it.

06 Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service to facilitate, enable, or conceal unauthorized access to any system, network, or data
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to circumvent, disable, or interfere with the Service's security or authorization features
• Use the Service in violation of any applicable law or regulation
• Redistribute, sublicense, or resell the Service without prior written consent

07 Third-Party AI Models and Agents

IamAgent is model-agnostic and operates independently of any third-party AI model, agent framework, or software platform. We do not develop, control, or assume responsibility for the behavior, output, or actions of any third-party AI model or agent that the Service monitors or interacts with.

Your use of third-party AI models and agents is governed by the respective terms and policies of those providers. IamAgent's authorization decisions are based on locally evaluated intent-action matching and do not constitute endorsement or validation of any third-party AI system.

08 No Guarantee of Security

IamAgent is designed to provide an authorization and audit layer for AI agent actions. However:

• The Service does not guarantee the prevention of unauthorized, harmful, or unintended agent actions. IamAgent is an advisory and authorization tool, not an absolute security guarantee.
• The Service does not guarantee detection of all threats, exploits, or misaligned agent behaviors. No security system is infallible.

You are solely responsible for the AI agents you deploy and the actions they perform, whether or not IamAgent is in use.

09 Intellectual Property

The Service, including its software, design, algorithms, documentation, and branding, is the property of IamAgent and is protected by applicable intellectual property laws. These Terms do not grant you any rights to use the IamAgent name, logo, or trademarks without prior written consent.

10 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IAMAGENT AND ITS DEVELOPERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DAMAGES ARISING FROM:

• ANY ACTIONS PERFORMED BY AI AGENTS, WHETHER OR NOT AUTHORIZED BY THE SERVICE
• FAILURE OF THE SERVICE TO DETECT, PREVENT, OR FLAG ANY AGENT ACTION
• UNAUTHORIZED ACCESS TO YOUR DEVICE OR DATA
• ANY THIRD-PARTY AI MODEL, AGENT, OR SOFTWARE BEHAVIOR

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12 Indemnification

You agree to indemnify, defend, and hold harmless IamAgent and its developers from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or the actions of any AI agents operating on your systems.

13 Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14 Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by the "Last Updated" date at the top. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

15 Termination

We may terminate or suspend your access to the Service at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

16 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Israel.

17 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
